This License Agreement is a contract between Code Orchestra Limited (hereinafter - We), having its principal place of business at Unit B, 9/F, Lockhart Centre, 301-307 Lockhart Road, Wan Chai, Hong Kong and you, the individual or legal entity (hereinafter - You), who is using an instance of software COLT (hereinafter - the Program) in binary form, including its documentation, and any Third Party Software (means all third-party libraries in binary form, that are owned and licensed in other ways than the Program and that either integrated or made part of the Program).
Exclusive property copyrights to the Program belong to us. Installation of the Program will constitute your unconditional agreement to the terms of this agreement. This agreement is of indefinite duration.
1. Using the Software for evaluation purposes.
1.1. You are not allowed to use the software more than once a year whilst in trial mode. The trial period lasts for 30 days.
1.2. After the trial period you must either purchase the Software or stop using it.
1.3. During the trial period we may use our discretion to limit the Software functionality.
1.4. Unilaterally, we have the right to refuse the use of the Software for evaluation purposes without further explanation.
1.5. Terms of the use of the Software for evaluation purposes may be changed by us unilaterally without any notice.
1.6. Other terms and conditions of the use of the Software for evaluation purposes may be found in its interface.
2. Using the Software’s test versions
2.1. We do not guarantee the full operability of the Software or its modules during the use of test versions.
2.2. Unilaterally, we have the right to refuse the use of the Software test versions without further explanation.
2.3. We have the right to limit the duration of use of the Software test versions and modules. Unless otherwise set forth herein, the time of use of the Software test versions or modules expires on the day of the Software or appropriate modules stable version release.
3. Purchasing the Software
3.1. The purchasing and distribution of the Software is made exclusively from our website or from the resources listed on our site.
3.2. Before the purchase of the Software you agree to verify its operability and compliance with the claimed features. If such verification is not possible for any reason, you purchase the Software under your own responsibility. Purchase of the Software means the unconditional acceptance of its consumer properties.
3.3. No returns or refunds are provided.
3.4. You are not allowed to transfer the rights of Software use to any third parties temporarily or permanently.
4. User credentials
4.1. Your credentials are confidential. You should not disclose and provide access to your data authentication to third parties. In case your credentials leak into open sources, and/or the fact of mass usage of your account is detected, we may disable your account without any refund.
4.2. If you forget your credentials, you will be offered an automatic procedure of their recovery. If you can not automatically recover your credentials, you can contact us asking for their recovery, providing the proof of your account ownership. In case of insufficient evidence, we may refuse you in regaining access at our own discretion.
5. Using the Software
5.1. You may install the Software on an unlimited number of computers, but the simultaneous use of the Software on different computers is prohibited. We reserve the right to temporary block your Software copy on certain PC, if your credential were used in a Software login attempt from another PC.
5.2. For Software full operability the Internet access is needed. Without access to the Internet the Software’s or its separate modules can be temporarily blocked.
5.3. Reverse engineering and modifications of the Software are prohibited.
5.4. We do not guarantee the operability of the Software, obtained from other sources.
6. Using the Associated Services
6.1. We can provide you the possibility to use both paid and free associated services. The terms of such services are a matter af additional separate negotiation.
6.2. Unless otherwise set forth in Terms of use of the Associates Services, the provisions of this License Agreement shall apply to the Terms of Service.
7. Using Third-party Modules
7.1. You agree to use additional modules of the Software, produced by third-party developers, only under the conditions of their use.
7.2. We at our own discretion may carry out activities, aimed to comply with the terms and conditions of the Software modules, produced by third-party developers.
7.3. Using third-party Software modules, we do not guarantee the full Software operability.
8. Technical Support
8.1. We provide technical support via email. Please contact us at technical support and we will work with you to resolve your problem as swiftly as possible. Our technical support email is support@codeorchestra.com. Emails sent after normal business hours, will be responded to on the following business day, if not sooner.
9. Disclaimer of Liability
9.1. We are out to create secure and error-free Software. But we understand that it is impossible to create absolutely secure and error-free Software. Understanding this, you agree that we can not be and are not responsible for any damages caused by the use of the Software and its associated services.
9.2. We ask you to take reasonable steps to backup your data, preserve the confidentiality of your credentials and take other steps to minimize the potential unintended damage.
9.3. Please, use the Software in accordance with the User Manual and the recommendations of our experts, published on our website. Never ignore updates and add-ons for the Software, they may contain not only improvements but also bug and security fixes.
9.4. If you become aware of a critical program error or a security problem, or the use of the Software which resulted in a loss of any sort, please immediately notify us and we will make every effort to rectify the situation.
We believe that the creation of good software product is the result of efforts of not only vendors but also consumers. We respect your needs and make every possible effort to create high-quality product.
On the other hand, we expect you to assist us in the Software development process and ask you to inform us about its shortcomings, propose improvements and comply with the provisions of this Agreement.
