+# Nathan Network License Agreement
+
+This Software License Agreement ("Agreement") is a legal agreement between the individual or entity who downloads, installs, or uses the software (the "Licensee") and The Nathan Network, INC ("Licensor"). By installing or using this software (the "Software"), the Licensee agrees to be bound by the terms and conditions of this Agreement. If the Licensee does not agree to these terms, they must immediately cease all use of the Software and destroy any copies in their possession.

+## 1. Grant of License
+
+Subject to the terms of this Agreement, the Licensor hereby grants the Licensee a personal, non-transferable, non-exclusive, non-sublicensable, and revocable license to use the Software solely for the Licensee’s personal or internal business purposes. The Licensee is granted the right to **run the Software** on their device or system, but under no circumstances may the Licensee modify, distribute, act as an intermediary, or provide the Software to any third party.

+## 2. Restrictions
+
+The Licensee agrees to the following restrictions on their use of the Software:

+### 2.1. **No Distribution**
+The Licensee is expressly prohibited from distributing, publishing, licensing, sublicensing, selling, renting, leasing, transferring, assigning, or otherwise providing access to the Software or any portion of it to any third party. This includes but is not limited to distributing the Software over a network, making the Software available via any public or private repository, or sharing access in any form.

+### 2.2. **No Modification**
+The Licensee may not alter, modify, adapt, translate, or create derivative works based on the Software, in whole or in part. This restriction applies to both source and object code forms of the Software. Any unauthorized attempt to modify the Software's functionality, appearance, or underlying code is strictly prohibited.

+### 2.3. **No Reverse Engineering**
+The Licensee is prohibited from disassembling, decompiling, reverse engineering, or otherwise attempting to discover the source code, underlying algorithms, or trade secrets of the Software. Any effort to hack, exploit, or tamper with the Software's functionality, security, or performance is expressly forbidden.

+### 2.4. **No Intermediary Role**
+The Licensee may not act as an intermediary or service provider, offering the Software or its functionalities to third parties, whether for profit or otherwise. This includes but is not limited to providing the Software as a service, incorporating it into a product, platform, or system, or facilitating access to the Software by others.

+### 2.5. **No Hacking or Security Breach**
+The Licensee must not engage in or permit any activity that may compromise the security, integrity, or performance of the Software. This includes, but is not limited to, tampering with any security features, attempting to bypass restrictions, or exploiting potential vulnerabilities.

+## 3. Intellectual Property Rights
+
+The Software, including all code, design, logos, graphics, and content, is the intellectual property of the Licensor and is protected by applicable intellectual property laws, including but not limited to copyright and trade secret laws. The Licensee acknowledges that no ownership rights are transferred to them by this Agreement. The Licensee only receives a limited right to use the Software as expressly set forth in this Agreement.

+## 4. Term and Termination
+
+### 4.1. **Term**
+This Agreement and the license granted herein shall be effective upon the Licensee’s download or use of the Software and shall continue unless terminated by the Licensor as provided in this Agreement.

+### 4.2. **Termination**
+The Licensor may terminate this Agreement at any time if the Licensee breaches any of the terms or conditions contained herein. Upon such termination, the Licensee must immediately cease all use of the Software, destroy all copies of the Software, and certify to the Licensor that such destruction has occurred.
+
+### 4.3. **Effect of Termination**
+Upon termination of this Agreement, the Licensee’s rights to use the Software will immediately cease. The Licensee will not be entitled to any refund, reimbursement, or compensation for any costs or expenses related to the terminated license. The Licensee remains liable for any damages arising from their violation of the terms of this Agreement.

+## 5. Disclaimer of Warranties
+
+The Software is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will meet the Licensee’s requirements or that the operation of the Software will be uninterrupted, secure, or error-free. The Licensee assumes all responsibility and risk for the use of the Software.

+## 6. Limitation of Liability
+
+In no event shall the Licensor be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if the Licensor has been advised of the possibility of such damages) arising out of or in connection with the Licensee’s use of or inability to use the Software, whether based on contract, tort, negligence, strict liability, or otherwise.

+## 7. Indemnification
+
+The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with the Licensee’s use of the Software, violation of this Agreement, or violation of any law or regulation.

+## 8. Governing Law
+
+This Agreement shall be governed by and construed in accordance with the laws applicable to the Licensor’s principal place of business, without regard to its conflict of law provisions. The Licensee agrees that any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the Licensor’s jurisdiction, and the Licensee hereby consents to the jurisdiction of such courts for any disputes arising out of this Agreement.

+## 9. Entire Agreement
+
+This Agreement constitutes the entire agreement between the Licensor and the Licensee concerning the Software and supersedes all prior or contemporaneous understandings and agreements regarding its subject matter. No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such provision or any other provision.

+## 10. Amendments
+
+The Licensor reserves the right to modify or update the terms of this Agreement at any time without notice. Continued use of the Software after any such changes constitutes acceptance of the new terms.

+## 11. Severability
+
+If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
